This Terms of Purchase and Refund Policy (“Policy”) applies to all purchases made from Section 8 Consulting LLC (“Company,” “we,” “us,” or “our”), including purchases made through our websites, checkout pages, payment links, phone sales, text-to-pay links, third-party platforms, live events, virtual events, or otherwise.

By purchasing, enrolling in, accessing, or using any product, program, mentorship, training, software, event, or service offered by Section 8 Consulting LLC, you acknowledge that you have read, understood, and agree to be bound by this Policy, along with any additional terms presented at checkout.

GENERAL TERMS

All prices are subject to change without notice. Discounts, promotions, bonuses, and offers may not be combined unless expressly stated in writing. Gifted or bonus items have no cash value and are non-transferable. You are responsible for providing accurate billing and contact information. Access is deemed delivered when login credentials, access instructions, or platform access are sent to the email or phone number you provided, or when access is made available inside your account.

NO GUARANTEE OF RESULTS

Section 8 Consulting LLC does not guarantee results of any kind. We do not guarantee income, appreciation, cash flow, financing approval, property acquisition, tenant placement, housing authority approval, timelines, or investment performance. Real estate investing, including Section 8 investing, involves substantial risk, including regulatory risk, market risk, financing risk, tenant risk, execution risk, and the risk of financial loss.

All programs, mentorship, training, calls, materials, templates, software access, and resources are provided for educational and informational purposes only. We do not provide legal advice, tax advice, financial advice, investment advice, brokerage services, or fiduciary services. We are not acting as your agent, partner, broker, or advisor.

You are solely responsible for your decisions, actions, execution, and results. Any examples, case studies, testimonials, numbers, timelines, or success stories referenced in marketing materials, content, sales calls, or training represent individual experiences and are not typical or guaranteed.

ASSUMPTION OF RISK

By purchasing and participating, you expressly acknowledge and assume all risks associated with real estate investing and with your participation in our mentorship, training, software, community, events, and services. You agree that any decisions you make are made voluntarily and at your own discretion.

DIGITAL PRODUCTS, MENTORSHIP, AND SERVICES

All sales are final unless a written guarantee is explicitly stated on the checkout page for a specific offer. Once access to any digital product, mentorship materials, training platform, community, calls, recordings, templates, software, or resources has been granted, no refunds, credits, or charge reversals will be issued.

You acknowledge that upon enrollment, Section 8 Consulting LLC immediately allocates resources, grants access to proprietary intellectual property, and delivers digital content that cannot be returned. For this reason, refunds, partial refunds, price reductions, or credits are not offered after access has been granted.

PAYMENT PLANS ARE NOT SUBSCRIPTIONS

If you purchase a product or program using a payment plan, you are agreeing to pay the full purchase price over time. A payment plan is not a month-to-month subscription and cannot be canceled to stop remaining payments. Failure to complete payment does not relieve you of your obligation to pay the full agreed-upon amount.

If payments become delinquent, we reserve the right to suspend access while the balance remains due. Suspension of access does not cancel your financial obligation.

SUBSCRIPTIONS AND RECURRING BILLING

If you purchase a subscription-based product, your subscription will automatically renew unless you cancel according to the cancellation instructions provided at checkout or within your account portal. Cancellation stops future renewals only. No refunds are issued for partially used billing periods unless required by law or explicitly stated in writing.

CHARGEBACKS AND PAYMENT DISPUTES

You agree to contact us first to attempt to resolve any billing issue. Initiating a chargeback or payment dispute after receiving access to mentorship materials, training, or services constitutes a breach of this Policy.

We reserve the right to suspend access during any dispute and to submit all relevant records to the payment processor or financial institution, including but not limited to call recordings, access logs, onboarding confirmations, messages, acknowledgments, and platform activity, to contest the dispute.

INTELLECTUAL PROPERTY

All content provided by Section 8 Consulting LLC, including videos, calls, recordings, documents, templates, frameworks, systems, software access, and materials, is proprietary intellectual property owned by the Company or its licensors.

Access is granted for personal use only. You may not copy, reproduce, distribute, resell, share, publish, or create derivative works from any Company materials. Unauthorized sharing or use may result in immediate termination without refund and legal action.

COMMUNITY AND EVENT CONDUCT

We maintain a strict no-solicitation policy across all mentorship calls, communities, events, groups, and platforms. You may not pitch, recruit, promote competing services, sell products, or create unauthorized subgroups without written permission.

We reserve the right to remove any participant for disruptive, abusive, misleading, inappropriate, or unethical behavior, or for violating this Policy, without refund.

Recording of calls, events, or other participants is prohibited unless expressly authorized in writing.

THIRD-PARTY SERVICES AND REFERRALS

We may refer or introduce you to third-party providers such as lenders, realtors, property managers, contractors, or software providers. We do not control third parties and are not responsible for their decisions, pricing, performance, approvals, timelines, or outcomes. You are solely responsible for conducting your own due diligence.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Section 8 Consulting LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost opportunities, or investment losses.

Our total liability for any claim arising out of or related to your purchase shall not exceed the amount you paid to Section 8 Consulting LLC for the specific product or service giving rise to the claim.

GOVERNING LAW AND ARBITRATION

This Policy and any dispute arising out of or relating to any purchase, product, service, marketing, representations, or participation with Section 8 Consulting LLC shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to conflict of laws principles.

Any dispute, claim, or controversy shall be resolved exclusively through final and binding arbitration, on an individual basis, and not as a class, collective, or representative action. Arbitration shall be administered by the American Arbitration Association under its Commercial Arbitration Rules then in effect. The arbitration shall take place in the State of Louisiana, unless the arbitrator determines a remote proceeding is appropriate.

You expressly waive any right to a jury trial and any right to participate in a class action, private attorney general action, or representative proceeding, to the fullest extent permitted by law.

CHANGES TO THIS POLICY

We reserve the right to modify this Policy at any time. The version in effect at the time of purchase governs that transaction unless otherwise required by law.

Education and Training

Smog King Inc. ("Smog King," the "Company," "we," or "us") is a sales and business education and training company focused on California smog inspection station ownership and operation. We do not sell a business opportunity, "get rich quick" program, or money-making system. We believe that with education, individuals can be better prepared to make informed business decisions in the California smog inspection industry, but we do not and cannot guarantee success.

We do not make earnings claims, efforts claims, return on investment claims, or claims that our training will make you any money. Training generally includes a hybrid of education, video curriculum, group and 1:1 coaching, community access, proprietary tools (such as the Data Finder), and supporting resources. All material provided through our programs is intellectual property and protected by copyright. Any duplication, reproduction, or distribution is strictly prohibited.

Examples, Case Studies, and Hypothetical Scenarios

Smog King makes no representation regarding the likelihood or probability that any actual or hypothetical investment in our training will achieve a particular outcome or perform in any predictable manner. Any historical results, income figures, station-opening timelines, or financial outcomes referenced in our marketing materials, training, presentations, testimonials, or coaching calls do not represent the actual performance of any specific customer's experience.

Past performance is not a guarantee of future success, and results in any period may be far above or below those of a previous period. No representation is being made that any student will or is likely to achieve profits or losses similar to those achieved in the past, or that significant losses will be avoided. Opening and operating a smog inspection station involves substantial risk, and you could lose your investment.

Examples and hypothetical scenarios used in Company presentations and materials may include information compiled from third-party sources or anonymized student outcomes. The Company believes the third-party information comes from reliable sources but does not guarantee its accuracy.

Lending and Financing

Smog King is not a lender, does not issue credit, does not originate loans, and is not a credit counselor. We do not provide consulting services related to acquiring lines of credit. Any lenders or financing partners we may reference are independently owned and operated and are not affiliated with the Company. The Company does not receive referral fees, kickbacks, or any compensation related to lending or financing services obtained by students.

You should carefully evaluate your own financial situation, objectives, consequences, risks, and other relevant circumstances before borrowing funds to purchase our training or to fund any smog station investment. Using borrowed money to invest in education or in opening a station at high-interest rates may significantly reduce the return you receive on any investment, or may cause you to lose more money than you invested. The Company urges you to carefully consider using borrowed money before making any investment decision.

If you cannot make required minimum payments to banks or lenders, you may incur additional fees and risk damage to your credit profile. We are not responsible for your financing decisions or their consequences.

Industry-Specific Disclosures

The California smog inspection industry is governed by the California Bureau of Automotive Repair (BAR), the California Air Resources Board (CARB), and federal Environmental Protection Agency (EPA) regulations. These regulations are subject to change at any time. Changes in law, regulation, or enforcement priorities may materially affect the economics of operating a smog inspection station, including but not limited to changes in vehicle emissions standards, electric vehicle mandates, STAR certification requirements, station licensing requirements, and consumer assistance program participation.

Smog King provides education based on the regulatory environment as it exists at the time of training. We do not guarantee that any market conditions, regulations, profitability factors, or business opportunities discussed in our training will remain unchanged. Students are solely responsible for ongoing compliance with all applicable laws and regulations in operating their businesses.

Equity Partnership Tier Disclosure

PARTNERSHIP / EQUITY ELIGIBILITY

The Scale tier of our program includes eligibility for partnership or equity discussions with Arian Nazari at his sole discretion. Eligibility for the Scale tier itself does not constitute an offer to enter into any partnership, joint venture, equity arrangement, or business co-ownership.

Any partnership or equity arrangement actually entered into between Arian Nazari (or any affiliated entity) and a Scale tier student will be governed by separate definitive written agreements negotiated in good faith between the parties. Such arrangements may be structured as joint ventures, member interests in an LLC, share ownership, profit participation, or other forms determined by the parties.

Smog King makes no representation that any partnership or equity arrangement will be offered to any particular Scale tier student. The decision to enter into any such arrangement is solely Arian Nazari's, based on factors including but not limited to capital available, market opportunity, the student's work ethic and judgment, mutual fit, and regulatory considerations.

This disclosure does not constitute an offer to sell securities. Any actual equity investment opportunity, if presented, will comply with applicable federal and state securities laws and will be documented through separate offering materials and agreements.

Customer Satisfaction and Testimonials

To continually improve the customer experience, we survey our customers and students throughout their journey. It is difficult to track and ascertain those who fully implement the training and successfully open and operate a smog inspection station. Some customers attend the training for educational purposes only and may be included in satisfaction survey results without having opened a station.

Testimonials, case studies, video reviews, and written reviews shared in our marketing materials are individual experiences and personal opinions of those who have purchased our education. Individual results vary, and testimonials may not be typical. Results depend on individual effort, time invested, business skill, capital availability, market timing, location quality, regulatory environment, and other factors. The Company does not independently verify monetary outcomes reported by students. Instead, it surveys customers regarding the value of its education, training, support, and overall satisfaction.

By participating in our community or providing testimonials, you grant Smog King a perpetual, royalty-free license to use your testimonial (with first name or anonymized) in marketing materials. We respect your privacy and will not publish personally identifiable information beyond what you have authorized.

Third Parties

The Company may link to content, refer to content, or recommend services created by or provided by third parties that are not affiliated with the Company (such as Whop, Circle.so, Zoom, GoHighLevel, equipment suppliers, landlords, attorneys, accountants, lenders, and other vendors).

The Company is not responsible for such third-party content or services and does not endorse or approve them. Third-party content may contain terms, privacy provisions, or other provisions that differ from those applicable to the Company. The Company assumes no responsibility or liability whatsoever for the accuracy, reliability, opinions, products, services, or actions of third parties. If you decide to access third-party content or use third-party products or services, you do so at your own risk.

Third-party company names, logos, and products are trademarks of their respective holders. Use of them in our materials does not imply affiliation with, or endorsement or sponsorship of, the Company.
